2. Acceptance of Terms
By downloading, installing, or using Critiqle, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the app. These Terms constitute a legally binding agreement between you and Frank Pierini ("Critiqle," "we," "our," or "us").
3. Apple and Google — Third-Party Acknowledgments
The following applies to users who download Critiqle from the Apple App Store or Google Play Store:
(a) Apple App Store Users:
These Terms are entered into between you and Critiqle only, not with Apple Inc. Apple is not a party to these Terms and is not responsible for the app or its content. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the app. In the event of any failure of the app to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price (if any). To the maximum extent permitted by applicable law, Apple will have no other warranty obligation. Apple is not responsible for addressing any claims by you or any third party relating to the app, including: (i) product liability claims; (ii) any claim that the app fails to conform to any applicable legal or regulatory requirement; or (iii) claims arising under consumer protection or similar legislation. Apple is not responsible for the investigation, defense, settlement, or discharge of any third-party intellectual property infringement claim. Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right to enforce these Terms against you as a third-party beneficiary.
(b) Google Play Users:
These Terms are entered into between you and Critiqle only, not with Google LLC. Google is not a party to these Terms and bears no responsibility for the app, its content, or your use of it. All support, maintenance, liability, and product claims are solely between you and Critiqle.
4. Eligibility
You must be at least 13 years of age to use Critiqle. By using the app, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into a binding agreement. Users between the ages of 13 and 17 represent that they have obtained parental or guardian consent to use the app. We reserve the right to terminate or restrict accounts if we have reason to believe a user is under 13.
5. Account Registration and Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@critiqle.com of any unauthorized access. We are not liable for any loss or damage arising from your failure to protect your account. We may suspend, restrict, or terminate your account at any time if we believe you have violated these Terms.
6. User Content
You retain ownership of content you submit, post, or display through Critiqle ("User Content"). By submitting User Content, you grant Critiqle a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, copy, store, modify, display, distribute, and process your User Content solely for the purpose of operating, improving, and providing the Critiqle service — including AI-assisted summarization and feedback features. This license ends when you delete your content or your account is permanently deleted, subject to retention obligations described in our Privacy Policy.
7. Prohibited Content and Conduct
You agree not to submit, post, or transmit any content or engage in any conduct that:
- Is unlawful, defamatory, harassing, threatening, abusive, or fraudulent;
- Infringes any third-party intellectual property rights;
- Contains viruses, malware, or other harmful code;
- Impersonates any person or entity;
- Is spam, unsolicited advertising, or misleading;
- Violates any applicable local, state, national, or international law or regulation.
8. Content Moderation
We reserve the right, but not the obligation, to review, remove, edit, or restrict access to any User Content at our sole discretion, at any time and without prior notice. We may suspend or permanently ban accounts that violate these Terms. Removal of content does not constitute a waiver of any other remedies available to us.
9. Feedback Disclaimer
All feedback, ratings, votes, and opinions provided through Critiqle are subjective expressions of individual users and do not constitute professional advice. Critiqle makes no representations regarding the accuracy, reliability, or quality of any user-submitted feedback. You agree that Critiqle is not responsible for any decisions you make based on feedback received through the platform.
10. Payments and In-App Purchases
Any payments made through Critiqle are processed exclusively through the Apple App Store or Google Play Store. By making a purchase, you agree to the payment terms of the applicable platform. All sales are final unless a refund is required by applicable law or the platform's own refund policy. We are not responsible for billing disputes, which must be addressed directly with Apple or Google.
11. Influencers, Brands, and Professional Users
Influencers, brands, and other professional users who participate in Critiqle's marketplace feature are independent third parties. Critiqle does not endorse, guarantee, or warrant the performance, results, or quality of any professional user's services. Any agreements or transactions between brands and influencers are solely between those parties. Critiqle is not a party to, and bears no liability for, any such agreements.
12. Advertising and Click Tracking
Critiqle tracks clicks and engagement internally for billing and reporting purposes. All engagement data recorded by Critiqle's systems is final. We make no guarantees regarding ad performance, reach, or outcomes. We are not liable for fraudulent clicks, impression discrepancies, or advertiser losses. No refunds will be issued for advertising spend except as required by applicable law.
13. Platform Role Disclaimer
Critiqle is a technology platform only. We do not provide legal, financial, business, or professional advice. No content on the platform constitutes an endorsement by Critiqle of any product, service, person, or opinion.
14. Account Deletion
When you delete your account, a 30-day soft-delete period begins during which your account may be restored upon request. After 30 days, your account and associated personal data will be permanently deleted. Your posts will be removed. Comments and votes you have made may be anonymized to preserve the integrity of discussions. We retain certain records as required by law as described in our Privacy Policy.
15. Termination
We may suspend or permanently terminate your access to Critiqle at any time and for any reason, including violation of these Terms, without prior notice or liability. You may terminate your account at any time by deleting it through the app. Upon termination, your right to use Critiqle immediately ceases.
16. Copyright — DMCA Notice
If you believe your copyrighted work has been infringed on Critiqle, please submit a written notice to support@critiqle.com containing: (1) your electronic or physical signature; (2) identification of the copyrighted work; (3) identification of the infringing material and its location; (4) your contact information; (5) a statement of good faith belief that the use is not authorized; and (6) a statement, under penalty of perjury, that the information is accurate and you are the copyright owner or authorized to act on their behalf.
17. Safety and Law Enforcement
We may remove content, restrict access, ban users, or report activity to law enforcement where we reasonably believe it is necessary to protect the safety of users or third parties, comply with legal obligations, or prevent illegal activity.
18. Disclaimer of Warranties
CRITIQLE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE APP IS AT YOUR SOLE RISK.
Nothing in this section shall be construed to limit warranties that cannot be disclaimed under applicable consumer protection law in your jurisdiction.
19. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CRITIQLE AND ITS OPERATOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE APP.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) FIFTY DOLLARS ($50.00 USD).
Nothing in this section shall exclude or limit liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law in your jurisdiction.
20. Service Availability
Critiqle makes no guarantee of continuous or uninterrupted service availability. We reserve the right to modify, suspend, or discontinue the app or any feature at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation.
21. Indemnification
You agree to defend, indemnify, and hold harmless Critiqle and its operator from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the app; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party right.
22. No Duty to Monitor
Critiqle is not required to monitor User Content or user activity. We are not liable for any content submitted by users, and our ability to remove content does not create an obligation to do so.
23. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to conflict of law principles. For users located in the European Union, applicable EU consumer protection laws may also apply and take precedence where required by law.
24. Dispute Resolution — Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of Critiqle that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, available at www.adr.org. The arbitration shall take place in Monmouth County, New Jersey, or via video conference, and shall be conducted in English.
CLASS ACTION WAIVER: You and Critiqle agree that each may only bring claims against the other in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. You waive your right to a jury trial. This arbitration provision does not apply to claims that may be brought in small claims court.
This arbitration clause does not apply to users residing in the European Union, where mandatory consumer protection laws may provide for alternative dispute resolution options.
25. Force Majeure
Critiqle shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, strikes, government action, internet outages, or third-party service failures.
26. Age Representation
By using Critiqle, you represent that you are at least 13 years of age. We are not liable for any damages arising from false representations regarding age. If we discover a user is under 13, we will immediately terminate their account and delete their data.
27. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
28. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Critiqle with respect to your use of the app, and supersede all prior agreements and understandings.
29. Changes to These Terms
We may update these Terms from time to time. We will notify users of material changes by posting the revised Terms in the app or by other reasonable means. Your continued use of Critiqle after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the app.
